Terms of Service

These Terms of Service ("Terms") govern access to and use of the services, software, models, APIs, websites, and related offerings (collectively, the "Service") provided by FUKU AI Pte. Ltd. ("FUKU AI," "we," "us," or "our").

By accessing or using the Service, you ("Customer," "you") agree to be bound by these Terms.

1. Eligibility and Authority

You represent that you are legally capable of entering into binding agreements and if acting on behalf of an entity, that you have authority to bind such entity.

2. Description of the Service

The Service provides AI-powered analytics, matching, insights, and decision-support tools that may process data supplied by Customers or retrieved from permitted third-party sources in accordance with these Terms and the Privacy Policy.

3. Customer Data and Third-Party Data

3.1 Customer-Provided Data

You retain all rights to data you submit to the Service ("Customer Data"). You grant FUKU AI a non-exclusive, limited license to process Customer Data solely to provide, maintain, and improve the Service.

3.2 Third-Party Data Compliance

If you provide, integrate, reference, or rely on data originating from third-party platforms, websites, services, or databases ("Third-Party Data"), you represent and warrant that:

such Third-Party Data was obtained lawfully;
your use of such Third-Party Data complies with all applicable third-party terms of service, API licenses, robots.txt directives, and usage policies; and
your use of the Service does not induce FUKU AI to violate any third-party contractual or legal obligation.

FUKU AI does not verify the legality of Third-Party Data supplied or referenced by Customers.

4. Prohibited Uses

You agree not to use the Service to:

access, extract, scrape, harvest, or collect data from any website or platform in violation of its terms, technical restrictions, or applicable law;
bypass, evade, or circumvent technical safeguards, including CAPTCHAs, authentication mechanisms, rate limits, IP restrictions, or access controls;
simulate human behavior, rotate IP addresses, or use residential proxies to avoid detection or enforcement mechanisms;
access login-gated, paywalled, session-restricted, or non-public content without authorization;
reverse engineer, decompile, or attempt to derive source code or models from the Service;
resell, sublicense, or commercially exploit personal data of individuals without lawful basis;
use the Service for surveillance, profiling, eligibility determinations, or automated decision-making producing legal or similarly significant effects on individuals, unless permitted by law;
imply affiliation, endorsement, or authorization by any third-party platform.

5. Respect for Technical Access Signals

You must respect published access signals and technical controls of external platforms, including robots.txt files, API usage limits, and authentication requirements. The Service is not designed or intended to defeat such controls.

6. Privacy and Data Protection

6.1 Roles

Where FUKU AI processes personal data on your behalf, FUKU AI acts as a data processor, and you act as the data controller, unless otherwise agreed in writing.

6.2 Customer Responsibilities

You are solely responsible for:

determining the lawful basis for processing personal data;
obtaining required notices and consents;
complying with applicable data protection laws, including the Singapore Personal Data Protection Act (PDPA) and other applicable regulations.

6.3 Deletion and Retention

Upon termination or notice of unlawful processing, FUKU AI will delete or return Customer Data in accordance with the Privacy Policy and applicable law.

7. Audit, Suspension, and Enforcement

FUKU AI may:

suspend or terminate access immediately upon suspected violation of these Terms;
request written certifications of compliance;
delete datasets derived from prohibited use;
cooperate with lawful court orders or regulatory requests.

8. Intellectual Property

FUKU AI retains all rights to the Service, including models, software, workflows, and derived outputs, excluding Customer Data. No rights are granted except as expressly stated.

9. Non-Affiliation

FUKU AI is not affiliated with, endorsed by, or sponsored by any third-party platform unless expressly stated. All third-party trademarks belong to their respective owners.

10. Indemnification

You agree to indemnify and hold harmless FUKU AI from any claims, losses, damages, or expenses arising out of:

your violation of these Terms;
your use of Third-Party Data in violation of third-party rights or terms;
any allegation that your data or use of the Service infringes or misappropriates rights of others.

11. Disclaimers

The Service is provided "as is" and "as available." FUKU AI does not warrant uninterrupted access, accuracy of third-party data or fitness for a particular purpose.

12. Limitation of Liability

To the maximum extent permitted by law, FUKU AI's total liability shall not exceed the fees paid by you to FUKU AI in the twelve (12) months preceding the claim.

13. Termination

Either party may terminate for material breach. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts of Singapore in connection with any dispute arising out of or in connection with these Terms or the Service.

15. Changes to Terms

Material changes will be notified via the Service or email. Continued use constitutes acceptance.
